Director of Contracts

You will lead the legal team and provide a consistent point of contact for both internal employees and external parties to plan, update and execute legal agreements, contracts, and be responsible for managing the process ensuring all parties necessary are included, respond in a timely manner, and contracts are fully executed. You will manage two team members; an in-house counsel and contract specialist. You will divide up the work and enhance the process at Imagine on how contracts flow quickly and easily to completion with the utmost accuracy. You will need to use and understand legal and financial terminology to draft and review contracts. You will need to collaborate with department leaders to determine timelines and define scope of work and work on overall processes at Imagine. This person will also handle all paperwork and communication to the necessary entities in regards to forming corporate entities. This position requires excellent communication across numerous teams while simultaneously juggling multiple projects. You must be a self-starter and a skilled manager.

A general understanding of arbitration and litigation, and the applicable rules, would also be a plus so that you can serve as a point of contact to liaise with external litigation counsel, when needed. We also do many cross-border transactions. A general understanding of international transactions would be an added bonus, but it is not a mandatory condition for the successful candidate.

Responsibilities:

  • Coordinate with the CEO and In-House Counsel to implement legal/risk posture and legal SOPs and standards.

  • Handle all larger, more complex agreements and contracts.

  • Be a part of the senior team and coordinate with the CEO and COO as well as all senior leadership as necessary

  • Craft, evaluate, negotiate, and execute a wide variety of different contracts covering a broad range of transactions, relationships, and partnerships.

  • Maintain records for correspondence and documentation in relation to established contracts and those in progress.

  • Communicate and present information to stakeholders about all contract-related matters to communicate necessary pertinent information to the appropriate teams.

  • Works closely with HR on any employment related matters and corporate policies or needs.

  • Serve as a point of contact to liaise with outside counsel in close relationship with CEO.

  • Create and manage the contracting playbooks in collaboration with the In-House Counsel.

  • Solve, in real time, any contract-related problems that may arise with other parties.

  • Work with the team to create processes to evaluate and understand whether a contract is good for the company including financial and business impact and how to take sufficient steps to minimize project risks.

  • Support negotiations of claims, manage contractual changes and resolve disputes or conflict resolution with Contractors.

  • Handle all liability and insurance claims that arise for the Company as the single contact working closely with the CEO and COO and the insurance company.

  • Manages the contract compliance best practices for the legal team and company in collaboration with the In-House Counsel.

  • Manage and create, when necessary, the  database of contract templates, such as non-disclosures, non-competes, release forms, partnership agreements, purchase orders, employment contracts, and independent contractor agreements.

  • Mitigate common contract management risks, such as financial and security risks.

  • Respond to requests from internal departments and makes sure all contracts are drafted and executed promptly and correctly.

  • Develop strong working relationships with colleagues across departments and seniority levels.

  • Adhere to all federal, state, and local business laws and regulations and company policies.

  • Ensure that all contracts comply with insurance policies or update policies as needed.

  • Other duties as assigned.

  • Bachelor’s degree in business or a related field is required.

  • Juris Doctor degree or an international equivalent is preferred.

  • At least 15 years of experience as a contract manager, or similar role at a law firm or in-house legal department is required.

  • Prior exhibition experience or experience in entertainment is strongly preferred.

  • Ability to handle multiple projects simultaneously.

  • Problem Solving skills.

  • Ability to manage teams both internally and externally.

  • Must possess a high level of attention to detail, and strong written and oral communication skills.

  • Must maintain and create organizational systems and filings.

  • Must possess good communication and interpersonal skills from talking to venues to talking with teams internally.

  • Time management skills.

  • Ability to meet deadlines, without compromising accuracy, within the constraints of schedule and budget.
